Terms of Service

ClearNoise is a local-first desktop application for creating, managing, and sending invoices. The App runs on your computer and stores all invoice data, client records, and settings locally on your device. ClearNoise is not a cloud service — your data stays on your machine unless you choose to send an invoice via email through the App.ClearNoise is not an accounting tool, tax advisor, or legal service. The invoices you create are your responsibility. We do not verify the accuracy, legality, or tax compliance of any invoice generated through the App.

Free Tier:
You may use ClearNoise for free with limited functionality. The free tier includes a restricted number of clients and basic invoicing features. No payment or license key is required.

Pro Tier:
The Pro tier unlocks all features and is available as an annual subscription at the price listed on our website (currently €49/year). Payment is processed by Lemon Squeezy, our Merchant of Record. When you purchase a Pro license, you receive a license key that activates Pro features on your device.Your Pro license is for personal, individual use on one device at a time. You may transfer your license to a new device by deactivating it on the old one.

Restrictions:
- Redistribute, resell, sublicense, or share your license key with others
- Reverse engineer, decompile, or disassemble the App
- Use the App for any unlawful purpose
- Remove or alter any proprietary notices in the App
- Use the App to send fraudulent, misleading, or illegal invoices

All payments are processed by Lemon Squeezy B.V., which acts as the Merchant of Record. Lemon Squeezy handles billing, VAT collection, and payment processing. When you purchase ClearNoise Pro, your legal purchase agreement is with Lemon Squeezy, not directly with us.

Your subscription renews annually unless cancelled before the renewal date. You can manage your subscription through the Lemon Squeezy customer portal linked in your purchase confirmation email.

We offer a 14-day refund window from the date of purchase. If you are unsatisfied with ClearNoise Pro, contact us at mail@evanderhobbs.com within 14 days and we will process a full refund. After 14 days, refunds are handled at our discretion.

ClearNoise allows you to send invoices and payment reminders via email directly from the App. This email functionality is powered by Resend, a third-party email delivery service.

When you send an email through ClearNoise:
- The recipient's email address, your sender details, the email subject, message body, and the attached invoice PDF are transmitted to Resend's servers for delivery.
- We do not store sent emails on our servers — the data passes through Resend and is delivered to the recipient.
- You are responsible for having the right to email the recipients you choose
- You must not use the email feature to send spam, unsolicited messages, or any content that violates applicable laws

We are not responsible for email delivery failures, emails being marked as spam, or any consequences arising from the content of emails you send through the App.

ClearNoise checks for updates automatically when the App launches. Update files are hosted on GitHub and downloaded over HTTPS. Updates may include bug fixes, new features, and security patches.

You may be prompted to install an update. You are not required to update, but older versions may lack features, bug fixes, or security improvements. We do not guarantee support for outdated versions of the App.

ClearNoise stores all data locally on your device. We do not have access to your invoices, client information, financial data, or any other content you create in the App. This means:

- You are responsible for backing up your data
- If you lose your device, reinstall your operating system, or delete the App's data folder, your data cannot be recovered by us
- We recommend using the App's built-in workspace export feature to create regular backups

ClearNoise connects to the following external services during normal use:

- Lemon Squeezy — for license key validation and payment processing
- Resend — for sending emails on your behalf
- Frankfurter API — for currency exchange rate data (European Central Bank rates)
- GitHub — for checking and downloading App updates
- Google Fonts — for loading fonts used in PDF generation

These services have their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

ClearNoise, including its design, code, branding, and documentation, is the intellectual property of Digital Homes / Thomas Marinus Hobbs. All rights reserved.

The invoices and content you create using ClearNoise belong to you. We claim no ownership over your data.

ClearNoise is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be error-free, uninterrupted, or free of harmful components. We do not warrant that invoices generated by the App will comply with the tax laws, invoicing regulations, or legal requirements of any jurisdiction.

You are solely responsible for ensuring your invoices meet the legal requirements applicable to your business and location.

To the maximum extent permitted by applicable law, Digital Homes / Thomas Marinus Hobbs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the App.

Our total liability for any claim arising from these Terms or the App shall not exceed the amount you paid for ClearNoise in the 12 months preceding the claim.

You may stop using ClearNoise at any time by uninstalling the App. Your data remains on your device after uninstallation.

We may terminate or suspend your license if you violate these Terms. In the event of termination, you must stop using the App and destroy any copies in your possession.

We may update these Terms from time to time. Changes will be posted on our website at clearnoise.app/terms. If we make significant changes, we will notify users through the App or via email where possible.

Your continued use of ClearNoise after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms shall be submitted to the competent courts in The Hague, Netherlands.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
